Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Klytech Studio website located at klytechstudio.com and any professional services we provide ("Services").

By visiting our website, submitting an enquiry, signing a project agreement, or otherwise engaging with Klytech Studio, you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms apply in addition to — and do not replace — any separate project agreements, statements of work, or contracts signed between Klytech Studio and a client for a specific engagement.

Our Services

Klytech Studio provides the following professional services on a project and retainer basis:

• Web and mobile application design and development
• SaaS platform architecture and engineering
• UI/UX design and design system creation
• Cybersecurity audits, penetration testing, and vulnerability assessments
• Security consulting and advisory

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate project agreement or statement of work. Nothing in these Terms constitutes a commitment to deliver specific services unless a signed agreement is in place.

Acceptable Use of Our Website

You are welcome to browse and use our website for legitimate informational and business purposes. You agree not to:

Client deliverables: Unless otherwise specified in a signed project agreement, Klytech Studio retains ownership of all original creative and technical work until full payment is received, at which point ownership of the deliverables is transferred to the client per the terms of the agreement.

Klytech Studio retains the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing.

Client Responsibilities

When engaging Klytech Studio for a project, clients are responsible for:

• Providing accurate and complete project information in a timely manner
• Responding to requests for feedback, approval, and content within agreed timeframes
• Ensuring that all materials, assets, and content provided to Klytech Studio do not infringe third-party rights
• Obtaining any necessary licences, permissions, or legal clearances for content used in deliverables
• Honouring payment schedules as outlined in the project agreement

Delays caused by a client's failure to meet these obligations may affect project timelines and may be subject to revised estimates or additional charges.

Payments & Billing

Payment terms for all Klytech Studio engagements are set out in the relevant project agreement. General practices include:

• A deposit (typically 30–50%) is required before work commences
• Milestone-based payments apply for larger engagements
• Final payment is due prior to delivery of final assets unless otherwise agreed
• Late payments may incur a late payment fee as stated in the project agreement

All prices are quoted exclusive of applicable taxes unless explicitly stated otherwise. Klytech Studio reserves the right to suspend or pause work on an engagement in the event of overdue payments.

Confidentiality

Both Klytech Studio and our clients may share confidential business information in the course of a project engagement. We treat all client information — including business strategies, technical architectures, unreleased products, and financial data — as strictly confidential.

We will not disclose confidential information to third parties without your explicit written consent, except where required by law or as necessary to deliver the agreed services (e.g. to a trusted subcontractor under a binding NDA).

Where formal confidentiality requirements exist, we recommend executing a separate Non-Disclosure Agreement (NDA) prior to sharing sensitive information.

Limitation of Liability

To the fullest extent permitted by applicable law, Klytech Studio's total liability arising out of or in connection with our services or these Terms shall not exceed the total fees paid by you to Klytech Studio in the three months preceding the claim.

We are not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunity
• Damages arising from your own misuse of our deliverables or services
• Third-party platform outages, changes in third-party APIs, or hosting failures beyond our control

Third-Party Links & Integrations

Our website may contain links to third-party websites, tools, or platforms. These are provided for convenience and do not constitute an endorsement of their content, products, or privacy practices.

Klytech Studio has no control over, and accepts no responsibility for, the content or availability of any third-party websites or services. We recommend reviewing the privacy policies and terms of any third-party sites you visit.

Termination

Either party may terminate a project engagement in accordance with the termination provisions in the relevant project agreement.

Klytech Studio reserves the right to immediately terminate access to our website or services if you are found to be in breach of these Terms, including but not limited to unlawful use, IP infringement, or non-payment.

Upon termination of an engagement, all outstanding payments for work completed become immediately due and payable. Confidentiality and intellectual property obligations survive termination.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in a separate project agreement.

We always prefer to resolve disputes through direct communication before any formal proceedings. Please contact us first — we are confident we can find a fair resolution together.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, or business practices. Updated Terms will be posted on this page with a revised "Last updated" date.
